Cagimao General Trading FZE (“the Company”) operates in compliance with UAE Federal Laws, Free Zone regulations, and international trade standards.

2. CORPORATE POLICIES

2.1 Code of Ethics & Conduct

• Operate with integrity, transparency, and fairness
• Zero tolerance for fraud, bribery, corruption, or misrepresentation
• Compliance with UAE Commercial Law and international trade ethics
• Respect confidentiality of partners, clients, and suppliers

2.2 Compliance & Legal Policy

• Full adherence to:
  • UAE Federal Commercial Companies Law
  • JAFZA regulations
  • Customs & Import/Export regulations
  • VAT and tax compliance (if applicable)
• Cooperation with regulatory authorities upon request

2.3 Anti-Bribery & Anti-Corruption Policy

• No facilitation payments or illegal incentives
• Gifts or hospitality must be lawful, modest, and documented
• Any violation leads to immediate termination of contract or employment

2.4 Data Protection & Confidentiality Policy

• All commercial, financial, and client data is confidential
• No disclosure to third parties without written consent
• Secure handling of documents, emails, and digital systems

2.5 Conflict of Interest Policy

3. OPERATIONAL PROCEDURES

3.1 Procurement & Supplier Management

3.2 Sales & Distribution Procedure

• Overdue payments may result in:

3.5 Record Keeping & Audit

5.3 Pricing

• Prices subject to change without notice
• Currency as specified in quotation
• Taxes, duties, and levies charged separately unless included

5.4 Payment Terms

• Payment terms as stated in invoice or agreement
• Late payments may attract penalties or interest
• Ownership of goods remains with Company until full payment

5.5 Delivery & Risk

• Delivery timelines are best-estimate
• Company not liable for delays beyond reasonable control
• Risk transfers as per agreed Incoterms

5.6 Inspection & Claims

• Buyer must inspect goods upon receipt
• Claims must be made within 7 days
• No claims accepted after usage or resale

5.7 Returns & Cancellations

• Returns accepted only with written approval
• Customized or special-order goods are non-returnable
• Cancellation fees may apply

5.8 Limitation of Liability

• Company liability limited to invoice value of goods
• No liability for indirect or consequential losses
• Force majeure events exempt liability

5.9 Intellectual Property

• All trademarks, designs, documents remain Company property
• Unauthorized use prohibited

5.10 Confidentiality

• All commercial terms and communications are confidential
• Breach may lead to legal action

5.11 Governing Law & Jurisdiction

• Governed by laws of the United Arab Emirates
• Jurisdiction: UAE Courts (Dubai / JAFZA as applicable)

6. FORCE MAJEURE

The Company shall not be liable for failure due to:

• Natural disasters
• War, strikes, pandemics
• Government actions
• Supply chain disruptions beyond control

7. AMENDMENTS

Cagimao General Trading FZE reserves the right to update policies and terms without prior notice.
